Terms & Conditions (Algemene Voorwaarden)

Quantum Beginnings – Last Updated: January 2025

These Terms & Conditions apply to all services provided by Quantum Beginnings (“the Company, ” “we, ” “us, ” or “our”) and form a binding agreement between the Company and any client or business engaging our services (“the Client”). By accepting a proposal, using our services, or accessing any deliverables created by Quantum Beginnings, the Client agrees to be bound by these Terms. If a Client does not agree to these Terms, the Client should not engage our services.

Quantum Beginnings provides digital marketing, automation, AI-assisted communication tools, social media management, content production, CRM support, consultancy, and strategy development. The scope of the services delivered depends on the specific proposal, contract, or invoice accepted by the Client. Any additional work requested by the Client that falls outside of the agreed scope will be billed separately at the Company’s standard rates unless otherwise agreed in writing.

An agreement between the Client and Quantum Beginnings is established once the Client accepts an offer, proposal, or invoice, either electronically or in writing, or once the Company begins delivering services at the Client’s request. Proposals are valid for fourteen days unless a different validity period is specified. The Company reserves the right to revise or withdraw proposals before acceptance.

The Client is responsible for providing accurate, complete, and timely information needed for the Company to perform its services. This includes providing access to relevant platforms such as social media accounts, CRM systems, websites, advertising platforms, and communication channels. The Client must ensure that all permissions are secured for any content, images, branding materials, or customer lists they provide, including consent for customer communications as required by GDPR/AVG and spam legislation. Delays or issues arising from lack of access, missing data, or inaccurate information remain the Client’s responsibility and do not reduce the Client’s financial obligations.

Quantum Beginnings uses AI tools to support messaging, customer communication, lead qualification, appointment scheduling, follow-up sequences, and content creation. The Client acknowledges that AI processes may rely on third-party platforms and system availability. All AI-generated content is reviewed through a human-in-the-loop process; however, the Company cannot guarantee that AI output will be free from errors, inaccuracies, or unexpected interpretations. The Client remains responsible for reviewing and approving final messaging to ensure compliance with industry standards and legal requirements.

The Company processes Client data and customer data only for the purpose of executing the services. All data is managed in accordance with GDPR/AVG obligations. Sensitive information is stored securely within platforms such as Google Workspace, GoHighLevel, and encrypted cloud environments. Both parties agree to maintain confidentiality. The Company will not disclose Client information unless permitted by the Client, required to deliver services, or legally obligated. Contractors or freelancers may receive limited, temporary access when essential for project execution, and such access is always governed by confidentiality agreements.

Until full payment has been received, all deliverables, content, assets, templates, and creative output remain the property of Quantum Beginnings. Upon full payment, rights to final deliverables transfer to the Client, except for underlying intellectual property such as workflows, automation logic, internal frameworks, AI prompts, licensed materials, and third-party components that cannot legally be transferred. The Company retains the right to showcase completed work in portfolios unless the Client explicitly requests confidentiality.

All fees must be paid in euros unless otherwise stated. Monthly retainers or subscription-based services are billed in advance. Project-based work may require a deposit ranging from thirty to fifty percent before work begins. Payments that are overdue may accrue statutory interest under Dutch civil law. Failure to pay may result in immediate suspension of services, including pausing automations, disabling CRM access, and halting scheduled content.

Because of the digital and time-sensitive nature of the Company’s services, completed work is non-refundable. Monthly services that have already commenced or been delivered cannot be refunded. Deposits for project work are non-refundable unless the Company cancels the agreement. Refunds or compensation are not available for delays caused by the Client or third-party platforms.

Quantum Beginnings cannot guarantee specific marketing outcomes, including lead quality, conversion rates, revenue, or algorithmic performance. The Client understands that advertising results depend on market conditions, platform algorithms, competition, budget, and external variables beyond the Company’s control. The Company does not accept liability for outages, interruptions, or performance issues from third-party platforms such as GoHighLevel, Google, Meta, hosting providers, or communication services.

To the fullest extent permitted by Dutch law, the liability of Quantum Beginnings is limited to the total amount paid by the Client for services in the month during which the issue arose. The Company is not liable for indirect or consequential damages, financial losses, loss of data, reputational harm, or damages arising from inaccurate AI output, automation errors, or misuse of the services by the Client. The Client is responsible for ensuring compliance with all applicable laws in relation to their own customers, communications, and business activities.

Either party may terminate the agreement by providing thirty days’ written notice unless a different notice period is stated in the contract. The Company may terminate the agreement immediately if the Client engages in illegal activity, fails to pay, or violates these Terms. Upon termination, all outstanding invoices must be paid immediately, and all access to automations, CRM systems, or AI tools will be revoked. Ownership of deliverables transfers only once full payment has been received.
